The student shall be able to
- understand basic legal concepts and their relevance for the individual entrepreneur, business and society
- describe basics of contract and commercial law as well as taxation relevant for starting and running a business (a start-up/company/private trader)
- describe different forms of cooperation and understand their legal implications
- identify the implications and legal requirements for different exit strategies
- acquire independently information on basic legal aspects for running a business and understand when professional help is needed
- identify situations that are legally relevant for the business or its owner
- make consistent and meaningful choices regarding the legal and ethical implications of business decisions
- choose content and draft a legal busines plan for both the business and the owner/shareholder(s)
- address legal problems proactively and know how to use legal services where necessary

Content

Companies are main tools in any entrepreneur’s toolkit. In this course you will start from deciding what is the potential role of a company in your life and what is your potential role in the company you start. You will learn the main legal building blocks for a company which helps you to reach your goals as an entrepreneur, be it a freelancing business, consulting company, small business or a scalable startup aiming to change the world.
The course is divided into two levels, the first level provides basic concepts and issues that will be applied to real life situtations at level two.
The core content of Level 1 includes basic legal concepts and issues relevant during the lifecycle of a start-up/company/private trader regarding
- Business Entities: purpose, formation agreements.
- Financing: debt/equity main alternatives.
- Intellectual property rights: ownership and protection
- Taxation and Social Security
- Contracts and negotiations/liability
- Employment law
- Consumer protection, Marketing Liability
- Data protection
- Insolvency
- Liquidation
- Corporate Governance and ethical choices
- Exit
The content of Level 2 is of a practical nature and tests your legal, ethical, proactive and creative thinking. Level 2 concentrates on the following issues: How to analyize the purpose and interest of the business? What are possible legal challenges, problems, conflicts? How to act proactively: problem prevention, conflict prevention. What is a legal business plan comprising the lifecycle of the company?
This is an extended version of the Entrepreneurship law course. Students can complete either the 6 ECTS or the 3 ECTS course, not both of them.

Workload

This is an online course that includes several real time intro and Q&A sessions and an oral final exam.
Most of the workload will consist of independent studying, quizzes and a written assignment.
